Conveyance Law represents commercial, mixed-use, residential, and rehabilitation developers across Central Iowa. Site assemblage through stabilization, including entitlements, layered capital stacks, construction documents, and the operating documents that carry a project from the first option agreement through lease-up.

Real estate development is a sequence of decisions, each one constraining the next.

Site control before entitlements. Entitlements before financing. Financing before construction. Construction before lease-up. Lease-up before stabilization.

The legal documents at every stage are the rails the project runs on, and a problem on one set of rails almost always shows up later, on another set, at a worse moment. Conveyance Law represents commercial, mixed-use, residential, and rehabilitation developers across Central Iowa. We work as members of the project team, alongside the architects, civil engineers, accountants, lenders, and contractors, and our drafting reflects what those people actually need from the documents.

Deep Roots in Central Iowa Land Use

On the public side of land use in Central Iowa, the firm’s involvement runs deep, including Urban Land Institute Iowa (founded by Larry James), the Sustainable Development Subcommittee of Capital Crossroads (chaired by Larry for more than a decade), the PlanDSM Advisory Committee during the City of Des Moines comprehensive plan update, and current board service at Trees Forever and the Des Moines Building and Fire Code Board of Appeals. When a project is structuring an infill rezoning or working through a development agreement with the City, that background means counsel knows how the room is likely to go.

How We Support Development Projects

Site Control and Assemblage

Most projects start with the question of how to control the site without overpaying for it or losing it to a holdout. We structure assemblages with the tools that solve the sequencing problem: option agreements rather than firm purchase contracts during early due diligence, cross-conditioned closings that obligate every seller to close on the same day, holdout-contingent walkaway rights, and assignment clauses that let the developer take title in the right vehicle for tax credit and financing purposes.

We coordinate title and survey early so the assemblage description isn't built out of inconsistent legal descriptions accumulated across decades of platting.

Entitlements and Approvals

The entitlement process determines what can actually be built and what it costs in time and concessions. Pre-application meetings with city staff, PUD or development plan applications, site plan review, historic preservation review where applicable, neighborhood and stakeholder engagement, and the plat amendments and vacations that reconfigure the site into the parcels the project needs. We work through this process with planners, civil engineers, and architects.

We draft the legal instruments (development agreements, covenants, easements, plat documents) that come out of it.

The Capital Stack

Most development projects in Central Iowa today use a layered capital stack: Tax Increment Financing under Iowa Code §403, federal and Iowa state historic tax credits, low-income housing tax credits, brownfield and grayfield credits, urban revitalization tax exemptions, conventional construction and permanent debt, and developer or sponsor equity.

Each source has its own structuring rules, ordering conventions, and entity requirements, and the structure that makes one source work can break another. We work the integration through deal modeling, partnership formation, and closing, alongside the accountants and tax counsel doing the financial structuring.

Construction and Stabilization

Construction is where development risk concentrates. We negotiate AIA and proprietary owner-contractor agreements; coordinate construction documents with construction loan documents; manage mechanic's lien risk through the Mechanic's Notice and Lien Registry; and handle the right-of-way, party wall, and adjacent property protection agreements that infill construction requires.

Through lease-up and stabilization, we draft the operating documents, leases, REAs, association documents, mixed-use cost-sharing arrangements, that allow the project to operate the way the deal contemplated.

Lien waivers collected with every pay application keep construction draws funded on schedule. See how we handle lien-free draws and lien defense for owners.

We've been on your side of the table.

Our firm is built around the recognition that legal counsel is most valuable when the lawyer understands what the client is actually carrying. We know what it’s like to revise a proforma late on a Tuesday night to make a deal pencil out. We know what it’s like to sign a personal guaranty knowing exactly who they’ll come after if it all goes south.

We know what it takes to risk something on an idea against the world. Our drafting and the advice come from that perspective: candid, focused on what’s actually at stake.

Cutler Development

”Larry James at Conveyance Law has been a terrific asset to our company and various development teams. We have worked together on several projects now, and we've been impressed with his versatility; he has helped us across the spectrum, from conducting legal review for complex, multi-layered funding source development deals, to executing more day-to-day counsel for property management items on stabilized deals. His company offers a one-stop-shop for most real estate matters, and we highly recommend him.

Flat fees on the deliverables, not-to-exceed on the rest.

We offer flat fees wherever the engagement allows. For development work, that means scoped flat fees on individual deliverables such as purchase agreements, entity formations, and development agreements, combined with not-to-exceed arrangements on the more variable elements of a project. The goal is predictability for the client and aligned incentives on both sides.

Working with our firm

If you’re at the early site evaluation stage, deep in entitlements, modeling a capital stack, or somewhere in construction watching things move, we’d be glad to talk. The decisions made in the first 60 days of a project’s structuring tend to constrain or enable everything that follows.
